Client Platform Terms

Version: 01 November 2026

These terms govern the services provided by Figro Technology Pte. Ltd., a Singapore company (UEN 202616878Z), to the business or individual identified as the client in its Figro account or commercial order ("Client" or "you"). "Figro", "we" and "us" mean that company. Questions may be sent to [email protected] .

These terms govern external clients receiving platform services from Figro. They do not create a contract between Figro and itself when Figro operates an agency campaign. A brand commissioning Figro as an agency has the separate agency-service arrangement agreed with Figro; this document does not replace that arrangement.

1. Your relationship with Figro

Figro provides tools for creator discovery, outreach, campaign coordination, content review and collaboration records. Where agreed for a campaign, Figro also collects client funding and arranges creator payouts.

Where you are identified as the client in the campaign agreement, you and the creator are the contracting parties for campaign work. In that arrangement Figro does not assume your campaign-client obligations or undertake the creator's deliverables. Where the agreement instead expressly identifies Figro Technology Pte. Ltd. as the client, Figro contracts directly with the creator and bears the client obligations. Naming a brand or using Figro's platform alone does not determine the contracting party. Figro remains responsible for its own obligations under these terms, including the funding and payout arrangements described below.

These terms apply when you accept them or place an order expressly incorporating them. Anyone acting for a business must have authority to bind it. You must be at least 18 and legally capable of entering the arrangement. If you act as an agency, identify the contracting client entity and the represented brand accurately and obtain the necessary authority for the campaign.

2. Campaign agreements and document priority

An authorized client user who sends a campaign agreement issues the identified client's offer to the creator. The collaboration agreement is formed when the creator, or a representative with authority to bind the creator, accepts that offer. Preserve any separately negotiated terms in the agreement before acceptance.

The accepted campaign agreement governs the client's and creator's work, compensation, posting date and campaign-specific content rights. These platform terms govern your relationship with Figro. An agreed commercial order governs the service fee and other Figro commercial charges stated in that order. A later platform-policy update does not rewrite an accepted campaign agreement or retroactively change accrued payment or refund rights. A change to the collaboration agreement requires the parties' agreement.

The [Creator Platform Terms](https://figro.co/legal/creator-terms) govern Figro's relationship with creators. The [Privacy Notice](https://figro.co/legal/privacy) explains personal-data processing; acknowledging it is not blanket consent to every use of data.

3. Accounts and permitted use

Keep your account and organization information accurate. Manage your users' permissions, protect credentials and promptly report suspected unauthorized access. You are responsible for actions taken with your authorization; this does not excuse a security failure attributable to Figro.

Use the service lawfully. Do not submit deceptive campaigns, infringing materials or malware; impersonate others; manipulate engagement or reviews; interfere with security; obtain unauthorized access; or resell creator data or access beyond your agreed entitlement. Outreach must be relevant and comply with applicable marketing and privacy requirements. Do not contact a person again for marketing after an applicable opt-out, or use information from Figro for unrelated harassment or profiling.

4. Client funding and Figro charges

Fund the collaboration upfront through the payment instructions agreed with Figro. A payment instruction, screenshot or pending transfer is not confirmation that Figro has received funds. Once Figro receives the amount allocated to creator compensation, the client's corresponding obligation to fund that amount under the collaboration agreement is discharged. Receipt by Figro does not mean the creator has been paid. Partial funding discharges only the corresponding amount received. This does not discharge the client's other contractual duties.

Any Figro service fee is separate from creator compensation and does not reduce it. Its amount or percentage, calculation basis, applicable taxes and other commercial details are those agreed in the client's commercial order or quote. These terms alone do not create a service fee. Do not treat creator funding as payment of Figro fees, or vice versa, unless expressly agreed.

Each party bears the costs associated with its chosen transfer method. Each remains responsible for its own applicable taxes, invoicing and regulatory obligations. Any deduction required by law must be explained and supported by the relevant records; this clause does not authorize a discretionary deduction from creator compensation.

Any platform subscription is separate from campaign funding. Its price, term, renewal arrangements and cancellation conditions must be disclosed in the accepted order. These terms alone do not authorize recurring charges. Subscription cancellation or a subscription-refund rule does not determine a campaign refund.

5. Approval, payout and reversals

Creator payout requires the client's explicit verification and approval of the agreed campaign deliverables. Funding, posting, silence or passage of time does not constitute approval. Review against the accepted work requirements honestly, communicate disputed deficiencies and cooperate in resolving issues. No additional universal performance target or approval stage is imposed by these terms.

Following explicit client approval, Figro will arrange payment of the agreed creator compensation previously received for the collaboration to the designated payout method. Approval authorizes that processing; it is not confirmation that a transfer has already occurred. These terms specify no payout period. Refer approval problems, delays or processing issues to support.

After the client approves the creator's deliverables, the client bears responsibility for a chargeback or reversal of its funding and must restore the corresponding amount to Figro. That is a separate replenishment obligation following the original funding discharge. A reversal does not, by itself, cancel approval, reduce the creator's approved compensation or authorize recovery from the creator. Figro remains responsible for its approved payout undertaking; recovery from the client is not a new creator approval condition. A chargeback mechanism is not a substitute for resolving the underlying dispute. Mandatory legal rights remain unaffected.

6. Campaign and advertising responsibilities

Describe the required deliverables and creator-specific requirements accurately in the agreement presented for acceptance. General campaign guidance does not silently add contractual work. Provide materials and information needed for that work, communicate anticipated delays, and agree changes with the creator.

You are responsible for the accuracy and substantiation of product claims and for rights in materials you supply or instruct the creator to use. Do not require a fabricated personal experience, misleading endorsement, concealed sponsorship or unlawful statement. Cooperate with the creator on clear sponsorship disclosures, applicable advertising restrictions and required platform labels. Client approval does not waive advertising-law requirements. Promptly cooperate in correcting unlawful or misleading content.

You authorize the assigned creator to use client-supplied brand materials solely as needed to perform the accepted campaign, to the extent you have authority to grant that permission.

Sample gift or return requirements and any departure from the usual client-paid sample costs must be recorded in the creator-specific requirements presented for acceptance. General campaign guidance is not automatically incorporated. There is no universal minimum period for a post to remain online; any such period must be stated in the accepted agreement.

You are responsible for your own product, promotion, targeting and distribution decisions. Figro's discovery information and metrics are decision-support information, not a guarantee of authenticity, audience composition, engagement, sales or other campaign outcomes.

7. Draft review and reshoots

Unless the accepted campaign agreement provides otherwise, the client may request one reshoot after reviewing an unsatisfactory draft. Further required reshoots must be necessary to correct a material factual error in the resulting video. Other additional reshoots or scope changes require the client's and the creator's agreement. An edited version or new upload is not automatically a reshoot. This rule does not retrospectively amend an existing accepted agreement.

The accepted campaign agreement states this default for both the client and the creator, and the Creator Platform Terms restate it for the creator. These client terms bind you. They do not by themselves bind the creator. If the accepted campaign agreement states a different reshoot rule, that agreement controls.

8. Content, review links and confidentiality

Creators retain ownership except to the extent an accepted campaign-specific term expressly provides otherwise. If no campaign licence is specified, you receive no additional reuse or advertising rights. Review access, receipt of a file and payment do not themselves grant rights to repost, advertise, edit, sublicense, use a creator's identity in another campaign, or train a model on the content. Obtain any additional rights by agreement. Where relevant, specify permitted channels, territory, duration, paid advertising, editing, sublicensing and use of the creator's name or likeness. These are optional agreed permissions, not default rights.

You may share campaign review links with the brand and authorized reviewers for that campaign, solely to review the submitted work. A review link may be opened by anyone who obtains it, without an account. Restrict your distribution accordingly and tell recipients to keep the link and unpublished materials confidential and not to publish, reuse or redistribute them. You are responsible for sharing you authorize and for communicating these restrictions to your reviewers. Contact support promptly if a link is disclosed unintentionally. Do not use such links to distribute sensitive personal data.

Keep non-public campaign materials, private communications, personal contact details and payment information confidential, except where sharing is authorized for the campaign or necessary for professional advice, legal obligations or legal remedies. Information independently known or lawfully public is not confidential merely because it also appears in Figro.

You retain rights in materials you provide. You authorize Figro and its service providers to host, copy, process, transmit and display them only as needed to operate the agreed services, facilitate authorized review, retain required records and resolve disputes. This does not grant Figro unrelated promotional or advertising rights. The separate, limited prospective model-development permission is set out in section 13. Figro and its licensors retain rights in the platform itself, excluding your and creators' materials.

Figro likewise must protect your non-public campaign materials, pricing, business information and private communications, use them only for the services and other purposes expressly permitted by these terms, and disclose them only to personnel, service providers or professional advisers who need access and are subject to appropriate confidentiality obligations, or as lawfully required. Where lawful and practicable, Figro will notify you of compelled disclosure and limit it to what is required. These duties continue while the information remains confidential, including during justified record retention. Information independently developed, previously lawfully known, lawfully obtained without a confidentiality duty or lawfully public is excluded. The external-review-link limitations described above remain applicable and do not authorize unrelated disclosure or reuse.

9. Cancellation and disputes about campaign work

Communicate with the creator or seek support before cancelling. Refer cancellation of a funded collaboration to support. Work pauses only by mutual agreement, subject to mandatory law; nobody is required to perform unlawful work.

Support facilitates a settlement accepted by both parties concerning refunds, work performed, compensation and content rights. It does not issue a unilateral award. Cancelling an application or account does not itself determine a refund or extinguish a payment obligation. Figro will implement an agreed settlement within its role, subject to applicable law and binding orders. No tiered cancellation fee is imposed by these terms.

If no settlement is reached, each party retains its otherwise available legal remedies. The Figro-user law and forum provision below does not select a law or forum for a client-creator dispute.

10. Data and service providers

Use creator and reviewer personal data only for a lawful, relevant purpose and observe applicable notices, rights and security requirements. Do not upload personal data that you lack authority to provide. Each party remains responsible for processing it determines for itself. If Figro processes personal data on your instructions and a data-processing agreement is required, that arrangement must be documented separately.

Third-party social platforms, banks and other providers may have their own terms and availability limits. These do not remove Figro's responsibilities for its own services. Features, integrations and data coverage may vary; no feature is promised solely because it is mentioned as a possible service in these terms.

11. Responsibility and limits

Figro will exercise reasonable care in providing its services. We do not guarantee uninterrupted availability, error-free third-party information, creator conduct or campaign results. Report material errors so they can be investigated.

To the extent permitted by law, neither Figro nor the client is liable to the other under these platform terms for indirect or consequential loss. Figro's aggregate liability for damages under these terms is limited to the greater of SGD 100 and the Figro service and subscription fees you paid in the three months preceding the event giving rise to the claim. Creator funding is not a Figro fee for calculating that cap.

These exclusions and cap do not limit amounts payable or returnable, including creator funding, approved payouts, agreed refunds and replenishment obligations; fraud or wilful misconduct; death or personal injury caused by negligence; or liability and remedies that cannot lawfully be limited. They do not limit the client's or creator's rights under their separate collaboration agreement.

You are responsible for reasonable third-party claims and costs to the extent caused by your breach of these terms, unlawful instructions or infringement in materials you supply. This does not cover Figro's own breach, negligence or misconduct. Figro must notify you promptly, allow reasonable participation in the defence and take reasonable steps to reduce loss. No settlement imposing an admission or non-monetary obligation on you may be made without your consent.

12. Ending access and changes

You may request account closure through support. Figro may restrict access where reasonably necessary to address a material breach, security risk, legal requirement or service discontinuation. We will explain the reason and provide reasonable notice where practicable and lawful.

Ending access does not cancel an accepted collaboration, erase accrued obligations or transfer content rights. Contact support for retained agreement and payment records if ordinary account access is unavailable. Retention and deletion are addressed in the Privacy Notice.

For material changes to these platform terms, we will provide at least 14 days' notice by email or a prominent service notice, unless a shorter period is necessary for legal or urgent security reasons. The notice will explain the effective date and any required acceptance. Changes do not retrospectively alter accepted campaign terms, accrued compensation or refunds. Stop entering new orders if you do not accept revised terms and contact support about outstanding arrangements.

13. Limited permission for future model development

Figro plans to develop and improve its own creator-matching, recommendation and campaign-planning models using creator profile information, campaign results and campaign briefs. This training is not currently undertaken by Figro. Subject to the limits below, you grant Figro a non-exclusive permission to use those categories of information that you supply and have authority to license for that specific future purpose, including through service providers acting only on Figro's instructions. This grant does not authorize Figro to begin that training now.

This permission excludes private chats, creator submissions such as scripts, images, audio and videos, and payment or authentication information. Profile information does not include a general licence to train on the creator's underlying posts or media. It does not authorize providers to train their own general-purpose models, public disclosure of confidential briefs, or outputs designed to reproduce private campaign material. Figro must minimize personal and confidential information used, apply appropriate safeguards and keep the use within the stated purpose.

This is a limited content permission, not blanket consent to process personal data or a representation that you own all information about other people. Third-party rights, confidentiality and the Privacy Notice continue to apply. Figro will not start this use until it has identified the relevant data and processing arrangements, provided any required notice, established an applicable legal basis and obtained any additional permission or consent required. This clause does not retroactively override restrictions in earlier agreements. Uses outside this scope require a separate applicable permission and legal basis.

14. Law and forum

Singapore law governs these terms between Figro and the client. First contact [email protected] to seek a good-faith resolution. If a Figro-client dispute remains unresolved after 30 days, it may be brought before the Singapore courts, which have exclusive jurisdiction subject to mandatory applicable law. Nothing prevents urgent protective relief or limits non-waivable rights to another competent court or authority.

This clause does not determine the governing law or forum of a dispute between the client and a creator.

15. General

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A delay in exercising a right does not itself waive it. Contractual notices may be sent through the service or to the current account email; notices to Figro may be sent to the support address above. Keep your contact details current. This does not replace any mandatory method for formal legal notices or service of proceedings.
