Please read these terms carefully before using Figro. By accessing or using our platform, you agree to be bound by these terms. If you do not agree, do not use our services.

1. ABOUT FIGRO

Figro is a SaaS influencer marketing platform operated by Figro Technology Pte. Ltd., a company incorporated in Singapore (UEN: [insert UEN]). The platform enables brands, agencies, and businesses ("Clients") to discover, manage, and collaborate with content creators and key opinion leaders ("KOLs") for marketing campaigns.

These Terms of Service ("Terms") govern access to and use of Figro's web-based dashboard, APIs, mobile applications, and any related services (collectively, the "Platform").

2. ELIGIBILITY

To use the Platform, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction
  • Have the legal authority to enter into binding contracts on behalf of yourself or your organization
  • Not be prohibited from using the Platform under applicable laws in your country of residence
  • Comply with all applicable local, national, and international laws and regulations

By registering, you represent and warrant that you meet all eligibility requirements above.

3. ACCOUNT REGISTRATION

You must create an account to access most features of the Platform. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information as needed
  • Keep your login credentials confidential and not share them with third parties
  • Notify us immediately at [email protected] if you suspect unauthorized access to your account

You are solely responsible for all activity that occurs under your account. Figro is not liable for any loss arising from unauthorized use of your account due to your failure to safeguard credentials.

4. PLATFORM USE

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform to conduct fraudulent, misleading, or deceptive campaigns
  • Upload or distribute content that is unlawful, defamatory, obscene, or infringing on third-party rights
  • Attempt to reverse engineer, scrape, or extract data from the Platform without written authorization
  • Interfere with the security, integrity, or performance of the Platform or its underlying infrastructure
  • Create multiple accounts to circumvent access restrictions or subscription limits
  • Resell, sublicense, or commercially exploit the Platform or its data without express written consent
  • Use the Platform to transmit spam, malware, or unsolicited commercial communications

Figro reserves the right to investigate suspected violations and, where appropriate, suspend or terminate access.

5. SUBSCRIPTIONS & PAYMENTS

Certain features of the Platform require a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees in the currency quoted at the time of purchase
  • Provide and maintain valid payment information
  • Allow Figro (or its payment processors) to charge the recurring fees on the billing cycle selected

All prices are exclusive of applicable taxes (including GST where applicable in Singapore) unless otherwise stated. Taxes are calculated based on your billing location.

Subscriptions auto-renew unless cancelled before the renewal date. Refunds are at Figro's sole discretion and are generally not provided for partial billing periods, except as required by applicable law. You may cancel at any time via your account settings or by contacting support.

Figro may change subscription pricing with at least 30 days' notice to your registered email address.

6. INTELLECTUAL PROPERTY

All content, software, trademarks, trade names, logos, and technology on or embedded in the Platform are the exclusive property of Figro Technology Pte. Ltd. or its licensors. Nothing in these Terms grants you any ownership interest in the Platform or its intellectual property.

You retain ownership of any content you upload to the Platform ("User Content"). By uploading User Content, you grant Figro a non-exclusive, worldwide, royalty-free licence to host, store, process, and display that content solely as necessary to provide the Platform services.

You represent that you own or have the necessary rights to all User Content you submit, and that such content does not infringe any third-party rights.

7. DATA & PRIVACY

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and share personal data in connection with your use of the Platform, including our compliance with the Singapore Personal Data Protection Act (PDPA) and, where applicable, the EU General Data Protection Regulation (GDPR) and other regional data protection laws.

By using the Platform, you consent to the data practices described in our Privacy Policy. If you are accessing the Platform from the European Economic Area, the United Kingdom, or other jurisdictions with data protection laws, additional rights may apply to you as described therein.

8. THIRD-PARTY SERVICES

The Platform may integrate with or provide access to third-party services and platforms (including but not limited to social media networks, payment processors, and analytics providers). These integrations are provided for your convenience and are subject to the third party's own terms of service and privacy policies.

Figro does not endorse, control, or assume responsibility for any third-party services, and your use of them is at your own risk. Availability of third-party integrations may change without notice.

9. DISCLAIMERS

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. To the fullest extent permitted by law, Figro expressly disclaims all warranties including but not limited to:

  • Fitness for a particular purpose or merchantability
  • Uninterrupted, error-free, or secure operation of the Platform
  • Accuracy or completeness of any KOL data, analytics, or recommendations generated through the Platform
  • Results or outcomes from campaigns executed through or facilitated by the Platform

KOL performance data, engagement metrics, and audience analytics are provided for informational purposes only. Figro does not guarantee campaign results or influencer conduct.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Figro Technology Pte. Ltd. and its directors, employees, agents, and licensors shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Damages arising from unauthorized access to or alteration of your data
  • Damages arising from your reliance on Platform outputs, recommendations, or analytics

In any event, Figro's total aggregate liability to you for all claims arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the total fees paid by you to Figro in the three months preceding the claim, or (b) SGD 100.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such jurisdictions, the above limitations apply to the extent permitted by law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Figro Technology Pte. Ltd. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Platform in violation of these Terms
  • Your User Content or any content you submit through the Platform
  • Your violation of any applicable laws or third-party rights
  • Any campaign, transaction, or agreement you enter into with a KOL through the Platform

12. TERMINATION

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to access the Platform ceases immediately.

Figro may suspend or terminate your account at any time with or without notice if:

  • You breach any provision of these Terms
  • We are required to do so by law or regulatory authority
  • We discontinue or substantially modify the Platform

Upon termination, provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.

13. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or in connection with these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.

For users in the European Union: nothing in these Terms limits your rights to bring proceedings before your local courts or relevant consumer protection authorities as provided by applicable EU law.

14. CHANGES TO THESE TERMS

Figro may update these Terms from time to time. When we make material changes, we will notify you via email to your registered address and/or by a prominent notice on the Platform at least 14 days before the changes take effect.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and may terminate your account.
